2011年借壳上市法律实务分析
文章摘要：2011年我国借壳上市法律环境发生了重大变化。中国证券监督委员会于8月发布《关于修改上市公司重大资产重组与配套融资相关规定的决定》，对借壳上市的含义与监管规则进行详细界定。本文评述了2011年借壳上市法律环境所发生的重大变化。2011年共有20多例借壳上市交易获得中国证券监督委员会审核通过。基于案例分析，本文对借壳上市常见法律问题进行了归纳。
Abstract:Legal environment significantly changed in 2011. In August, CSRC launched the rule "Amending the Provisions on the Material Asset Reorganization and Ancillary Financing of Listed Companies", and clearly rules reverse acquisition. The article reviews the new rules. More than 20 reverse acquisition transactions were approved by the CSRC this year. Using case method, the article summarizes the legal problems in common. 展开
