企业整体上市模式法律问题比较分析
文章摘要：2011年是我国持续鼓励企业整体上市的重要一年。作为2011年国内A股整体上市的典型案例，上汽集团通过资产重组实现了整体上市。本文对截至2011年底我国推进企业整体上市的相关政策和法律法规进行了分析，对整体上市涉及的几个共性问题进行了探讨。在此基础上，结合典型案例，对整体上市不同模式的相关法律特点进行了比较和总结。我们认为，未来企业整体上市将进一步获得国资部门和监管部门的政策鼓励。从目前的整体上市法律环境和模式特点来看，在上市公司反向收购集团公司... 展开
Abstract:China continued to encourage enterprises to be list as a whole in 2011. SAIC Motor was one of the typical cases. This article studied the relevant laws and policies, analyzed some general legal issues among whole-listing cases, summarized the features of different whole-listing patterns on the basis of cases in the market, and gave prediction on the future selection of the whole-listing patterns. 展开
